Senior Corporate Paralegal

The Sr. Corporate Paralegal will assist the EVP General Counsel and associate counsels/outside counsel with drafting and securing contracts, complex transaction management, document/records management, reporting, and legal analysis in an extremely fast-paced, high-energy company.


Duties and Responsibilities:

  • Review, create, draft, edit and negotiate a variety of commercial real estate contracts, including purchase and sale agreements, LOI’s, POA creation, correspondence, and amendments, and supervise transaction management and document management
  • Maintain and operate commercial contracting processes, filing systems, reporting, form agreements, and all other legal files; update and distribute internal contracts guidance policy
  • Drafting and preparing corporate documents, resolutions, forming corporate entities, and managing/organizing all corporate legal files
  • Drafting pleadings, including discovery, related to civil litigation
  • Work across wide variety of departments on a broad range of legal, business and strategic issues, including real estate, banking, construction, and employment
  • Perform legal research and analysis; Drafting and transcribing legal memos (dictation)
  • Work independently and directly with outside counsel and adversarial counsels on all legal matters
  • Lead, track and manage complex corporate projects such as acquisitions, corporate restructuring, and financial transactions
  • Perform other duties as necessary


Required Qualifications:

  • Minimum of 7 years’ of paralegal/legal assistant/legal secretary experience
  • Intermediate computer skills knowledge of computer software including Microsoft Office, Outlook, etc.
  • Thorough knowledge of legal principles and practices (preferably in real estate or corporate)
  • Ability to organize, prioritize work assignments and remain flexible and able to multi-task daily
  • Excellent time management skills
  • Skilled in electronic dictation transcription
  • Exceptional interpersonal, grammar and communication skills (both written and oral)
  • Analytical and critical thinking skills
  • Maintain high level of professionalism
  • Able to handle stressful situations
  • Maintains confidentiality at all times


Preferred Qualifications:

  • Associates/Bachelor’s degree
  • Paralegal Certificate/Degree from an ABA approved school
  • Previous corporate/real estate experience
